Article I Name
The name of the organization will be known as the Seawolves Athletic Club.
Article II Purpose
The Seawolves Athletic Club (SAC) is an independent volunteer organization whose primary purpose is to provide financial support to the athletic programs at Southern Maine Community College
Article III Membership
The membership of the club will be divided into two categories:
- Those individuals, business or organizations that donate financial resources to the club.
- Those individuals who contribute time, energy, and expertise to the club
Article IV Responsibilities
- The club will initiate and implement activities for the promotion of men’s and women’s athletics
- The Seawolves Athletic Club Board of Directors will work closely with the Athletics, Communications, and Foundation offices to ensure that the club’s activities are in keeping with the mission of the college and USCAA Guidelines.
- At the annual meeting in June, the club will review and authorize the use of club monies for anticipated expenditures that are submitted by college officials.
- The club will support the college’s Annual SMCC Athletics and Foundation Golf Tournament along with other special events.
Article V Board of Directors
- Membership: The board will consist of no fewer than six voting members.
1) Voting Members: Voting members will consist of the Director of Athletics, one designated employee of the college, one student athlete and remaining other board members and officers.
- Officers:
The officers will be the President, Treasurer, and Secretary. The officers will be chosen from the board members at the annual meeting in June and serve a minimum two year term. In the case of a vacancy, the President will appoint a successor for the unexpired term subject to the Board’s vote of approval.
1) The President will preside at all meetings, supervise and direct the club’s activities, work closely with the Director of Athletics and is the spokesperson and representative of the club.
2) The Treasurer will keep detailed records of the account, donations, and expenditures and report the status at each meeting. Close contact will be maintained between the Treasurer and the college’s business and foundation offices. (See Article VI section D for further details)
3) The Secretary will act as a custodian of all records, reports, and correspondence of the club and will keep and report the minutes of all club meetings and send notices of meetings to each board member.
- Meetings
Meetings of the board will be held bi-monthly and will be called by the President. In the absence of the President, the Treasurer and/or Secretary will conduct the meetings. A quorum will consist of one more than half of voting members.
Article VI Fiscal
- The college’s Business office and Foundation office will maintain the club’s account, perform its financial transactions and provide monthly statements to the Club Treasurer. Expenditures in excess of $150 must be approved by the club’s board members. Expenditures under $150 must be approved by the President or Treasurer.
- Donations to the Seawolves Athletic Club received by the Foundation office will be acknowledged by the office and credited to the club’s fund. A monthly statement of these donations will be sent to the club President and Treasurer.
- Upon receiving these statements, the SMCC Foundation will acknowledge the gifts in writing to the donor.
- General correspondence and donations other than those received by the Foundation office will be directed to the appropriate officer. All donations will be deposited in the clubs fund within the Foundation.
Article VII Amendments
These By-Laws may be amended at any regularly held Seawolves Athletic Club meeting. All Amendments must be passed by two thirds vote of the clubs voting membership.
